Acceptance of the Terms of Use

These terms of use are entered into by and between you, the individual accessing the website, whether on behalf of yourself or any third party ("you") and Jihi Technologies, Inc. (the "Company," "we," or "us"). The following terms and conditions, together with any documents referenced herein (collectively, "Terms of Use"), govern your access to and use of www.jihi.com (the "Website"), including any content, functionality, products, and services offered or purchased on or through the Website (collectively with the Website referred to as the "Platform"), whether as a guest, free user, registered user, or paid subscriber at any tier. These Terms of Use apply equally to all users of the Platform regardless of subscription level, membership tier, or access type.

Please read the Terms of Use carefully before you start to use the Platform. By using the Platform, or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found at https://jihi.com/policies/privacy-policy, incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Platform.

The Platform is offered and available to users who are 18 years of age or older and reside in the United States or any of its territories or possessions (subject to the Geographic Restrictions section below). By using the Platform, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you are under the age of 18, you are not permitted to create an account or agree to these Terms of Use and you must have your parent or legal guardian's permission to use the Platform. Please have your parent or legal guardian read these Terms of Use with you. If you are a parent or legal guardian, and you allow your child to use the Platform, then these Terms of Use apply to you, and you are responsible for your child's activity on the Platform. If you are a healthcare practitioner, wellness provider, or are otherwise accessing the Platform by or on behalf of a third party, you represent, warrant, and covenant that you have all right and authority to access the Platform on behalf of such third party and such third party agrees and understands that the Terms of Use and the Privacy Policy will be binding upon the third party as if such party were accessing the Platform on its own behalf. If you do not meet all of the above requirements, or do not agree to the above statements, you must not access or use the Platform.

Services

The Platform is a technology platform that offers a range of wellness-focused services and products aimed at supporting holistic health, hormone balance, and natural cycles. The Company is not a healthcare provider, pharmacy, medical practice, or laboratory. Where the Platform facilitates access to pharmacy services, medical services, laboratory services, or other healthcare-related services, such services are provided by independent third-party providers who are solely responsible for the services they render. Our Platform services include:

• Online Wellness Shop: Our wellness shop offers a curated selection of products designed to support hormonal balance, natural skincare, cycle wellness, and overall well-being. Products include hormone-supporting supplements, clean beauty items, and other wellness tools.
• Membership Access and Educational Content: Through our Platform, members can access premium educational content, courses, and resources focused on Cycle Hacking, wellness routines, and hormonal health. This includes guided courses, instructional videos, and live sessions with wellness experts.
• Community Engagement and Support: We provide community support through expert-led circles, wellness communities, and forums where members can connect, share insights, and gain support on their wellness journey.
• Proprietary Tools and Technology: The Platform offers proprietary wellness tools, including Cycle Planning and Cycle Hacking technology, designed to align users' wellness goals with their body's natural rhythms, helping optimize performance, manage symptoms, and enhance well-being.
• Information and Resources: We provide general information on wellness, hormonal health, and lifestyle practices through articles, guides, and blog posts.
• Third-Party Health Services: The Platform may facilitate connections between users and independent third-party pharmacy services, medical services, laboratory services, and other healthcare providers (collectively, "Third-Party Health Services"). The Company does not provide, control, or supervise such Third-Party Health Services. Any interactions, transactions, or relationships between you and any third-party provider are solely between you and such provider. The Company makes no representations or warranties regarding the qualifications, licensure, quality, safety, or legality of any Third-Party Health Services, and you access and use such services entirely at your own risk.

Provider Users

Certain users of the Platform may be wellness providers, affiliates, ambassadors, or other individuals or entities who promote, market, or direct their customers, followers, or communities to the Platform (each, a "Provider User"). Provider Users may be granted access to dedicated tools, portals, dashboards, or features on the Platform (collectively, the "Provider Portal"). If you are a Provider User, the following additional terms apply to you in addition to all other provisions of these Terms of Use:

• Independent Contractor Status. You acknowledge and agree that you are an independent contractor and not an employee, agent, joint venturer, or partner of the Company. Nothing in these Terms of Use or your use of the Platform shall be construed to create an employment, agency, partnership, or joint venture relationship between you and the Company. You have no authority to bind the Company or to make any representations or commitments on behalf of the Company. The Company does not direct or control the manner or means by which you conduct your business. Any financial arrangement between you and the Company shall be subject to a separate written agreement between you and the Company, and no such arrangement shall create an employment or agency relationship.
• Compliance. You are solely responsible for complying with all applicable federal, state, and local laws and regulations in connection with your activities as a Provider User, including without limitation any laws governing advertising, endorsements, testimonials, and consumer protection. You represent and warrant that any claims, statements, or representations you make about the Platform, the Company, or any products or services available through the Platform are truthful, not misleading, and comply with all applicable laws, including FTC guidelines regarding endorsements and testimonials. The Company does not verify, and makes no representations regarding, your compliance with applicable laws.
• Responsibility for Provider User Activities. You are solely responsible for all services, advice, recommendations, content, and other activities you provide to or perform for any person in connection with or related to your role as a Provider User (collectively, "Provider Activities"), including any wellness services you independently offer to your own customers. The Company has no responsibility or liability for any Provider Activities, and you acknowledge that the Company does not review, approve, endorse, or supervise your Provider Activities or any wellness services you provide outside the Platform. Any dispute between you and any person to whom you provide services is solely between you and such person, and the Company shall have no obligation to intervene in or resolve any such dispute.
• Provider Portal Access. Access to the Provider Portal is granted at the Company’s sole discretion and may be revoked, suspended, or modified at any time without prior notice. The Company makes no guarantees regarding the availability, functionality, or uninterrupted operation of the Provider Portal. You are responsible for maintaining the confidentiality of all login credentials associated with your Provider Portal account and for all activities that occur under your account. You shall not share your Provider Portal access credentials with any other person or permit any unauthorized person to access the Provider Portal using your credentials.
• Customer Data and Privacy. To the extent you access, receive, or process any personal information or other data of Platform users through the Provider Portal or otherwise in connection with your use of the Platform ("Customer Data"), you shall comply with all applicable privacy and data protection laws, including without limitation state privacy laws and any other applicable regulations. You shall use Customer Data solely for the purpose of conducting your Provider Activities as permitted under these Terms of Use and shall not sell, disclose, or otherwise misuse Customer Data. You are solely responsible for any breach of Customer Data that occurs as a result of your acts or omissions.
• Provider Indemnification. In addition to the general indemnification obligations set forth elsewhere in these Terms of Use, if you are a Provider User, you agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your Provider Activities, including any wellness services you independently offer; (b) any breach of your representations, warranties, or obligations under this Provider Users section; (c) any misleading, false, or non-compliant claims, statements, or representations you make regarding the Platform or any products or services available through the Platform; (d) any violation of applicable law in connection with your activities as a Provider User; or (e) any dispute between you and any person to whom you provide services.
• No Endorsement of Provider Users. The Company’s facilitation of connections between Provider Users and other users through the Platform does not constitute a referral, recommendation, or endorsement of any Provider User, their wellness services, or their qualifications. Users are solely responsible for evaluating and selecting Provider Users, and the Company disclaims all liability in connection with any user’s selection of or interaction with a Provider User. Provider Users shall not represent or imply that the Company endorses, certifies, or guarantees the quality of their services.

All users of the Platform, regardless of subscription tier, membership level, or whether accessing the Platform as a guest, free user, or paid subscriber, agree to use the Platform in accordance with our Terms of Use, and we may periodically update or modify these services to enhance user experience.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion and without any required notice to you of any kind. All changes are effective immediately when we post them, and apply to all access to and use of the Platform thereafter. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Platform.

Your continued use of the Platform following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

Accessing the Platform and Account Security

We reserve the right to withdraw, discontinue, modify, or amend the Platform, and any service or material we provide on or through the Platform, in our sole discretion without prior notice. We will not be liable if for any reason all or any part of the Platform is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Platform or the entire Platform.

You are responsible for both:

• Making all arrangements necessary for you to have access to the Platform.
• Ensuring that all persons who access the Platform through your internet connection are aware of these Terms of Use and comply with them.

To access the Platform or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Platform that all the information you provide on the Platform is correct, current, and complete. You agree that all information you provide to register with this Platform or otherwise, including, but not limited to, through the use of any interactive features on the Platform, is governed by our Privacy Policy (available at https://jihi.com/policies/privacy-policy), and you consent to all actions we take with respect to your information consistent with our Privacy Policy. If you provide any information about a third party by or through the Platform, you represent and warrant that you have authority to disclose such information and further covenant that your disclosure of such information and use of any materials, documents, or other information obtained by or through the Platform will not violate any laws. You shall be responsible for any information you provide to us, directly or indirectly, and you will indemnify, defend, and hold the Company harmless from and against any damages, costs, fines, or other liability arising from your violation of any law, rule, or regulation.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Platform or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

Intellectual Property Rights

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Use permit you to use the Platform for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material provided to you on or through the Platform, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your Web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the Platform for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
• If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
• If we provide social media features with downloadable or interactive content, you may take such actions as are enabled by such features.

You must not:

• Modify copies of any materials from the Platform.
• Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Platform.

You must not access or use for any commercial purposes any part of the Platform or any services or materials available on or through the Platform.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Platform in breach of the Terms of Use, your right to use the Platform will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Platform, or any content on the Platform is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Platform not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

Trademarks

The Company name, the wordmarks Jihi®, Self-Centered Wellness®, Spread Joy®, Petal Milk®, the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on the Platform are the trademarks of their respective owners. Any use of such marks without the prior written consent of the Company is prohibited and we reserve all rights related to the same.

Prohibited Uses

You may use the Platform only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Platform:

• In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined by us, may harm the Company or users of the Platform, or expose them to liability.
• Solicit, collect or post personal data or attempt to solicit, collect or post personal data about other users of the Platform, including usernames or passwords, or access or attempt to access another user's account without such user's consent.

Additionally, you agree not to:

• Use the Platform in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Platform, including their ability to engage in real time activities through the Platform.
• Use any robot, spider, or other automatic device, process, or means to access the Platform for any purpose, including monitoring or copying any of the material on the Platform.
• Use any manual process to monitor or copy any of the material on the Platform, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent.
• Use any device, software, or routine that interferes with the proper working of the Platform.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform.
• Attack the Platform via a denial-of-service attack or a distributed denial-of-service attack.
• Otherwise attempt to interfere with the proper working of the Platform.

User Contributions

The Platform may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Platform.

All User Contributions must comply with the Content Standards set out in these Terms of Use.

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Platform, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

You represent and warrant that:

• You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.
• All of your User Contributions do and will comply with these Terms of Use.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Platform. You acknowledge that by providing you with the ability to post User Contributions we are not undertaking any obligation or liability relating to any User Contributions on the Platform nor do we endorse any such User Contributions.

Monitoring and Enforcement; Termination

We have the right to:

• Remove or refuse to post any User Contributions for any or no reason in our sole discretion, without notice.
• Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Platform or the public, or could create liability for the Company.
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
• Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Platform.
• Terminate or suspend your access to all or part of the Platform for any or no reason, including without limitation, any violation of these Terms of Use.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Platform. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we do not, and have no obligation to undertake to review all material before it is posted on the Platform and cannot ensure prompt removal of material you may find objectionable after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section, including without limitation, for any loss you incur in the event that User Contributions you post or transmit to the Platform is/are removed. We are not responsible for maintaining a copy of any material we remove from the Platform.

Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
• Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
• Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy.
• Be likely to deceive any person.
• Promote any illegal activity, or advocate, promote, or assist any unlawful act.
• Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
• Impersonate any person or misrepresent your identity or affiliation with any person or organization.
• Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
• Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

Copyright Infringement

If you believe that any User Contributions violate your copyright, please contact us for instructions on sending us a notice of copyright infringement. It is the policy of the Company to terminate the user accounts of repeat infringers.

Reliance on Information Posted

The information presented on or through the Platform is made available solely for general educational and informational purposes only. Such information does not constitute providing medical advice or professional services and is not a substitute for professional medical advice, diagnosis or treatment. The information provided should not be used for diagnosing or treating a health problem or disease, and those seeking personal medical advice should consult with a licensed physician. The Company is not a licensed pharmacy, medical provider, or clinical laboratory, and does not practice medicine, dispense medications, or perform laboratory testing. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Platform, or by anyone who may be informed of any of its contents.

The Platform may include content provided by third parties, including materials provided by other users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Company, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of the Company. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third party.

Use and Disclosure of Health Information

By using the Platform you hereby acknowledge and agree that the Company may require access to certain personal health information. This information may include general personal and demographic information, medical history, images, and other personal or protected health information. There are certain services that we cannot provide to you without your consent to use and disclose such information.

By using the Platform you hereby authorize the Company to use the personal health information obtained from you and from third parties to maintain records regarding your medical history, diagnosis, treatment, and any plans for future care or treatment, and you authorize the Company to contact certain third parties on your behalf including, without limitation, any applicable third-party healthcare professional involved in your care.

You understand that any provider, pharmacy, or health plan that you interact with as part of the Platform each may be regulated as a "covered entity" under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"). Please be aware that these Terms of Use and the Privacy Policy are distinct from a covered entity’s HIPAA Notice of Privacy Practices, which describes in detail overall how a covered entity uses and discloses your individually identifiable health information. If you would like to review a copy of such HIPAA Notice of Privacy Practices, please request a copy directly from your provider, pharmacy, and health plan. Our use and disclosure of your personal information, which we receive pursuant to your express authorization, is not restricted under HIPAA, except to the extent that we act as a "covered entity" or as a "business associate" to the above-referenced covered entities. We will use and disclose, and protect the privacy and security of, your personal information consistent with the terms of your authorization and these Terms of Use.

Changes to the Platform

We may update the content on the Platform from time to time in our sole discretion, but such content is not necessarily complete or up-to-date. Any of the material on the Platform may be out of date at any given time, and we are under no obligation to update such material.

Information About You and Your Visits to the Platform

All information we collect from you is subject to our Privacy Policy. By using the Platform, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

Online Purchases and Other Terms and Conditions

Purchases made directly through the Platform or other transactions for the sale of goods, services, or information carried out directly through the Platform, or resulting from visits made by you, are governed by our Terms of Sale (https://jihi.com/policies/refund-policy), which are hereby incorporated into these Terms of Use.

You may have access through the Platform to order services, merchandise or other products from other parties, including pharmacy providers, medical providers, laboratory providers, and other healthcare professionals (collectively, the "Third Party Sellers"). All matters concerning the services, merchandise and other products desired from the Third Party Sellers, including, but not limited to, purchase terms, payment terms, warranties, guarantees, maintenance, delivery, and the quality, safety, legality, or appropriateness of any healthcare, pharmacy, or laboratory services, are solely between you and the Third Party Sellers. The Company does not employ, supervise, direct, or control the Third Party Sellers or their personnel, and the Third Party Sellers are solely responsible for all services they provide to you, including all clinical judgments, prescriptions, diagnoses, treatments, and test results. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE PLATFORM, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS THE DISCONTINUATION OF YOUR USE OF THE PLATFORM. OUR SOLE AND ENTIRE MAXIMUM LIABILITY, FOR ANY REASON, AND YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE WHATSOEVER, SHALL BE LIMITED TO THE ACTUAL AMOUNT PAID BY YOU FOR THE PRODUCTS AND SERVICES YOU HAVE ORDERED THROUGH THE PLATFORM.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE COMPANY SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY DAMAGE, LOSS, INJURY, OR CLAIM ARISING OUT OF OR RELATED TO (A) ANY THIRD-PARTY HEALTH SERVICES, INCLUDING ANY PHARMACY SERVICES, MEDICAL SERVICES, OR LABORATORY SERVICES ACCESSED THROUGH THE PLATFORM, (B) ANY ACT, OMISSION, NEGLIGENCE, MISCONDUCT, MALPRACTICE, OR ERROR OF ANY THIRD-PARTY PROVIDER, (C) ANY PRESCRIPTION, DIAGNOSIS, TREATMENT, TEST RESULT, OR MEDICAL DECISION MADE BY ANY THIRD-PARTY PROVIDER, OR (D) YOUR RELIANCE ON ANY INFORMATION PROVIDED BY ANY THIRD-PARTY PROVIDER THROUGH THE PLATFORM. YOUR SOLE REMEDY WITH RESPECT TO THIRD-PARTY HEALTH SERVICES IS AGAINST THE APPLICABLE THIRD-PARTY PROVIDER DIRECTLY.

IF ANY PORTION OF THIS LIMITATION OF LIABILITY IS FOUND TO BE INVALID, LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

Indemnification

You agree to indemnify and hold harmless, and at our option, defend the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, shareholders, representatives, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Platform, including, but not limited to, your User Contributions, any use of the Platform’s content, services, and products other than as expressly authorized in these Terms of Use, your use of any information obtained from the Platform, or any claim arising out of or related to any Third-Party Health Services or Third Party Sellers you access, use, or interact with through the Platform, including any claims related to the provision or failure to provide pharmacy, medical, or laboratory services.

Governing Law and Jurisdiction

All matters relating to the Platform and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Colorado without giving effect to any choice or conflict of law provision or rule (whether of the State of Colorado or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Platform shall be instituted exclusively in the federal courts of the United States or the courts of the State of Colorado, in each case located in the city and county of Denver. Notwithstanding the foregoing, we reserve the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in a court of competent jurisdiction where you reside, including any action for specific performance or injunctive relief. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision. Any waiver by the Company of any term or condition set out in these Terms must be in writing, acknowledged by an authorized representative of the Company.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

The Terms of Use, our Privacy Policy and any other express agreement between you and the Company related to your use of the Platform constitute the sole and entire agreement between you and Jihi Technologies, Inc., regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.
